A debt that does not appear where you look
In August 2026, a Wall Street Journal analysis estimated that a group of nine large technology companies carried on the order of three trillion dollars of AI-related commitments that do not appear as debt on their balance sheets. These obligations take mainly two forms: long-term leases for facilities not yet in service, and commitments to buy chips, energy and equipment. In other words, these groups have promised to pay considerable sums in the years ahead, but those promises do not swell the "debt" line that investors read first. They live in the notes to the accounts.

The race to artificial intelligence is first a race for infrastructure: giant data centers, specialized chips by the hundreds of thousands, electricity consumption comparable to whole cities. These outlays are immense and immediate, while the revenue from AI is still to come. To fund that head start without swelling their reported debt or tying up all their capital, the groups use structures that push the obligation off the balance sheet: lease rather than buy, commit to buy rather than own, build together rather than alone. The asset and the promise to pay both exist; they simply are not recorded in the same place.

The structure
How a data center leaves the balance sheet
For its Hyperion data-center campus, Meta went through a joint venture, Beignet Investor LLC, owned about 80% by asset manager Blue Owl and about 20% by Meta. That vehicle raised close to $27.3 billion of debt. Because Meta holds only a minority, most of that debt is not consolidated into its accounts: it belongs, in accounting terms, to the joint venture. Meta benefits from the campus while keeping the matching borrowing largely off its balance sheet. There is nothing secret about it; it simply shows how a very real obligation can be carried by a separate vehicle.

None of this breaks the rules. Accounting standards provide that a lease, a purchase commitment or a minority stake do not enter balance-sheet debt in the same way as an ordinary loan. What is required is disclosure: these commitments must be described in the notes to the financial statements. It is in fact a cousin of a well-known technique, securitisation
(2), where an asset and its debt are housed in a dedicated entity. The question is therefore not legality, but readability: does accurate information, filed where few readers will look for it, truly inform?

The role of audit
A "critical audit matter", not a red card
The title might suggest the auditor saw nothing. The opposite is true: Meta's auditor, EY, flagged the Beignet structure as a "critical audit matter" in February 2026, a term that signals one of the hardest and most sensitive judgments in the whole audit. So the controller did see, and said so. But its role is to check that the accounts comply with the rules, not to rewrite those rules nor to reclassify onto the balance sheet what the rules allow to keep in the notes. The limit is not the auditor's: it is that of a balance sheet which, by construction, does not show everything. The real invisibility lies in where one looks.

Measuring risk on the wrong base
If a large share of obligations lives off the balance sheet, then a firm's real leverage, that is, its weight of debts relative to its means, is higher than the headline numbers suggest. Three consequences follow. Comparison between groups is distorted: two firms with similar balance sheets can carry very different commitments. Valuation may ignore future payments that are quite real. And the assessment of risk, by investors and creditors alike, rests on an incomplete base. The danger is not that a rule is broken; it is that the measure used to decide is too narrow.

The history
From Enron to AI, the same grey zone
Off-balance-sheet accounting has a loaded history. In the early 2000s, the Enron affair showed how special-purpose entities could conceal debts and losses, up to the group's collapse and a tightening of accounting rules. The difference with the present case is essential and must be said: at Enron, the structure served to deceive and broke the rules; here, the commitments are legal and disclosed. The resemblance lies elsewhere: in both cases, a real obligation escapes a quick reading of the balance sheet. History therefore does not announce a fraud; it recalls that a neutral instrument can, depending on its use, illuminate or conceal.

What these figures do not say
Several objections deserve to be raised. A purchase commitment or a lease spreads over years: it is not a debt due immediately, unlike a loan reaching maturity. These obligations are backed by assets (data centers, equipment) and by expected revenue. They are disclosed, so they can be analyzed by whoever takes the time to read. And aggregating commitments of different kinds and horizons into a single big number can overstate the alarm. None of this cancels the observation; it sharpens it: the subject is not an imminent bankruptcy, but the fair measure of a risk, and the place where the information is found.

The "debt the controller had not seen" is not a debt hidden by fraud: it is a debt filed where the eye does not first fall. The episode teaches a discipline of reading. The balance sheet is a summary, not the whole: a growing share of a firm's obligations can live in its leases, its purchase commitments and its joint ventures. To judge the real leverage is therefore to read the notes as much as the headline lines, and to ask not only "how much debt?", but "which commitments, over what horizon, carried by whom?". A figure that complies with the rules can be accurate without being complete.
